BioGas Corp (BGC) is a leading developer of anaerobic digester/biogas projects In the United States
The BGC team has been developing large-scale biogas projects since 2011. These include food waste to electricity projects in North Carolina, Rhode Island, California, and New York as well as animal waste to electricity/renewable natural gas in North Carolina, Oregon and Colorado. These projects operate under long-term (15 to 10 year) off-take agreements with investment grade utilities and petroleum refiners.

1202 Qualified Small Business Stock (QSBS) This equity investment vehicle allows ordinary income investors to buy stock in our corporation while the corporation’s hard assets are below $50MM. If an accredited investor holds this original issue stock for 5 years or longer, any gain on this investment will be tax free up to the larger of 10X the original investment or $10 million dollars. Preferred return of 10% annual + equitable share of profits. Projected full return of capital in 36-48 months. Minimum investment amount $100K USD, Maximum $45MM USD.
To clarify what is meant by the greater of 10X your investment or $10 MM:
ACT Florida, Inc. is currently offering a total of $45MM of QSBS stock for sale. This means a maximum of $450 MM tax free earning potential if one investor purchased 100% of the shares. For any individual investor who invests the $100K min, they are allowed to earn up to $10MM or (100X tax free) based on that IRS determination.
ACT Qualified Opportunity Zone Fund 1400-Z (ACT QOF, LLC)
This equity investment vehicle offers Capital Gain investors a compliant way to defer any capital gain tax (gain can be from stock, real estate, business sale etc. any capital gain) until April 2027 in a compliant manner. Can be tied to an equity share of ACT stock, or can be structured equity that is repaid at a fixed 8% annual interest rate like a debt security, but is equity to satisfy the 1400-Z QOF compliance. Minimum investment amount $250,000, maximum $25 MM.

Our general investment fund is a membership interest LLC that can offer debt or equity securities. These debt instruments are for accredited investors seeking a limited risk opportunity with a strong fixed income on promissory notes tied to the cash flow of the corporation and paid back ahead of all equity investments. These debt instruments can be convertible debt or traditional debt with no conversion rights.

Any of our investments can be made by a non US based investors for the purpose of obtaining an EB5 US investor Visa. If the investment amount is a minimum of $1,050,000 USD and the investor has hired or will plan to hire an immigration attorney to assist with the process.
